  • We will comply with relevant professional standards
  • The timeline for service delivery will be as agreed or within a reasonable time
  • We may engage third-party service providers to assist in delivering services

3. Your Obligations

In order for us to provide our services effectively, you agree to:

  • Provide accurate and complete information
  • Cooperate with our reasonable requests for information or documentation
  • Make personnel available to assist with service delivery when required
  • Pay our fees in accordance with the agreed terms
  • Notify us promptly of any changes that may affect the services

4. Fees and Payment

Our fees will be as agreed in the engagement letter or service agreement. Unless otherwise agreed:

  • Payment is due within 30 days of invoice date
  • We may charge interest on late payments at 8% per annum above the Bank of England base rate
  • We may suspend services if payment is not received when due
  • All fees are exclusive of VAT, which will be added where applicable

5. Intellectual Property

All intellectual property rights in the materials we produce in providing services to you will be owned by us, unless otherwise agreed in writing. We grant you a non-exclusive license to use such materials for the purpose for which they were provided.

6. Confidentiality

We will treat all information provided by you as confidential and will not disclose it to any third party without your consent, except as required by law or regulatory authority, or where the information is already in the public moraviquelo.

7. Limitation of Liability

Our liability for losses arising from our services is limited to the amount specified in our engagement letter or service agreement. In no event will we be liable for any indirect, consequential, or special losses or damages.

8. Termination

Either party may terminate the service agreement by giving 30 days written notice. We may terminate immediately if:

  • You breach these terms and conditions
  • You fail to pay our fees when due
  • We are unable to provide the services due to circumstances beyond our control

9. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
